These Terms of Use govern use of the BioCycle Services LLC website and its business ordering services. BioCycle Services LLC is a Nevada limited liability company (BioCycle, we, us, or our). By using the website or placing an order, you agree to these terms on behalf of yourself and the business you are authorized to represent.
Authorized business use
This website and its ordering services are intended for authorized business customers. Customer accounts are invite- or approval-based. By using an account or placing an order, you confirm that you are authorized to act for the business customer associated with that account.
You agree to provide accurate company, contact, account, and order information and to use the website only for lawful business purposes.
Account responsibility
You are responsible for protecting your login credentials and for activity conducted through your account. Do not share your login with unauthorized people. Notify BioCycle promptly if you believe your account has been compromised or if an account holder is no longer authorized to act for your company.
BioCycle may restrict or disable access when a user is no longer authorized, information is inaccurate, or an account is misused.
Purchase orders and order changes
Orders are placed using a valid purchase order (PO) number. You are responsible for checking the products, quantities, PO number, and shipping and billing details before placing an order.
Orders are final once placed. Any requested correction, change, or cancellation must go through BioCycle directly. A requested change is not effective unless BioCycle confirms it, and changes may not be possible once processing or fulfillment has begun.
Contract pricing and separate billing
Pricing follows the applicable contract or pricing agreement for each customer. An account may show pricing specific to the customer it belongs to. Customer-specific pricing must not be represented as pricing available to other customers.
Billing and invoicing are handled separately from website order submission, including through QuickBooks Online where applicable. Placing an order does not mean payment has been collected. Payment terms, taxes, shipping charges, and other commercial terms follow the applicable customer agreement and invoice.
If these website terms conflict with a separately signed customer agreement, the signed agreement controls to the extent of that conflict.
Shipping estimates
Shipping and delivery timelines are estimates, not guarantees, unless BioCycle expressly agrees otherwise in writing. Availability, order processing, carrier operations, holidays, and circumstances beyond our reasonable control may affect timing. Contact BioCycle about time-sensitive delivery requirements before placing an order.
Limitation of liability
To the extent permitted by applicable law and subject to any controlling written customer agreement, BioCycle is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or business interruption, arising from use of the website or an order.
To the extent permitted by applicable law and subject to any controlling written customer agreement, BioCycle’s total liability for a claim arising from an order will not exceed the amount paid to BioCycle for the products giving rise to that claim. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited.
Governing law
These terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Updates to these terms
BioCycle may update these terms from time to time. The date at the top identifies the latest revision. Updated terms apply to future website use and orders and do not retroactively change a separately agreed transaction.
